Seller Agreement

This agreement applies when you apply to become a seller, publish a listing or receive seller earnings through PineScript Market. It supplements the general Terms of Service. If the two conflict on a seller-specific matter, this Seller Agreement controls.

1. Eligibility and authority

You must provide accurate application information and have legal authority to enter this agreement for yourself or the business you represent. Approval is not automatic. PineScript Market may request identity, ownership, compliance or payout information before approving or continuing a seller account.

2. Independent seller relationship

You are an independent seller, not an employee, agent, partner or representative of PineScript Market. You are responsible for your scripts, listing content, customer support, business registrations, taxes and compliance with laws that apply to you. PineScript Market operates the marketplace, moderation, checkout integration, access workflow and seller ledger.

3. Script ownership and licence

You retain ownership of your scripts. You represent that you created them or hold every right and permission needed to publish, market and provide paid access to them. You must not sell copied, unlawfully reused or misleadingly repackaged code.

You grant PineScript Market a non-exclusive, worldwide, royalty-free licence for the duration of your listing to host and display your submitted listing materials, use your seller name and branding for marketplace promotion, and perform the technical actions reasonably required to moderate the listing and fulfil or revoke buyer access. This does not transfer ownership of your Pine source code to PineScript Market.

4. TradingView account and platform authorization

You must control the TradingView account that owns and manages every script you list. By connecting that account, you authorize PineScript Market to use the session credentials you submit only to validate the account, identify approved scripts, and grant, verify, renew or revoke access for marketplace orders. Credentials are treated as sensitive data and are not intentionally returned through public API responses.

You remain responsible for securing the account, maintaining any TradingView plan required for invite-only publishing, keeping the connection healthy and complying with TradingView’s current Terms, Script Publishing Rules and Vendor Requirements. If a connection becomes invalid or unhealthy, checkout or payouts may be paused until the problem is resolved. PineScript Market is not affiliated with or endorsed by TradingView.

5. Listings, claims and moderation

Listing information must be complete, current and capable of substantiation. You may not promise profits, guaranteed returns, fixed win rates or risk-free performance. Backtests, screenshots and performance descriptions must fairly disclose material assumptions and limitations. Each listing and material revision may be reviewed, approved, rejected, paused or sent back for changes before publication.

6. Orders, access and support

Buyers purchase the access period and scope shown at checkout. You must keep the listed script available, respond to reasonable support requests and avoid actions that interfere with valid access. A seller earning is not created merely because payment was attempted or captured: buyer access must first be granted and verified by the platform. Failed or uncertain fulfilment may be retried, paused for review, refunded or cancelled as appropriate.

7. Commission and seller ledger

The applicable marketplace commission is the rate assigned to your seller profile or listing. It may differ by seller or listing and will be applied using the platform’s configured calculation basis. Payment-provider fees, taxes, discounts and other transaction adjustments may affect the final amount credited. Sales, renewals, refunds, disputes, holds, releases, manual adjustments and payouts are recorded in your seller ledger.

You may ask support to confirm your applicable commission and payout settings before publishing. Changes that materially affect future seller earnings will apply prospectively after notice, unless a correction is required for fraud, error, law or payment-network rules.

8. Refunds, disputes and chargebacks

Important: accepting this agreement authorizes PineScript Market to offset seller-attributable refunds, disputes and chargebacks against your current or future seller balance.

A payment case is seller-attributable when it relates to your listing or fulfilment, including non-delivery, lost or revoked access, a materially inaccurate listing, prohibited or infringing content, inadequate seller support, or another breach of this agreement. Payment-layer reversals tied to an order for your listing may also affect the corresponding sale credit even when you did not initiate the reversal.

PineScript Market may place a temporary hold while a case is open. A full refund, partial refund, lost dispute or chargeback may create a debit for the corresponding seller share and any directly attributable provider or dispute costs. If a dispute is won or a hold is no longer required, the appropriate amount is released. Available evidence, access logs, order records, provider events and the parties’ responses may be used to decide attribution.

Debits may reduce the current payout, be carried forward against future credits, or cause payout and checkout to be held while the balance is negative or the risk remains unresolved. Seller ledger records may be corrected when a duplicate, calculation error or later provider decision is identified.

9. Monthly payouts

PineScript Market calculates payouts in monthly closed-period runs. Only verified, available and unallocated ledger entries are eligible. Open cases, reserves, minimum payout settings, compliance checks, invalid payout details and negative balances may delay or reduce a payout. Positive amounts below an applicable minimum carry forward.

Payouts are completed manually through the payout channel recorded for your account, currently Whop where available. You are responsible for providing accurate recipient information. A payout is complete only after PineScript Market records the matching provider reference; dashboard estimates are not a promise of payment on a particular date.

10. Taxes and records

You are responsible for determining, reporting and paying taxes, duties and other obligations arising from your seller activity, except amounts a payment provider or law requires another party to collect or withhold. You must keep records needed to support your ownership, listings, sales and tax reporting.

11. Suspension and termination

PineScript Market may pause listings, checkout, access automation or payouts to investigate security failures, ownership concerns, misleading claims, high refund or dispute activity, negative balances, legal requests or violations of this agreement. Serious or repeated violations may result in rejection, suspension or closure. Termination does not erase outstanding refunds, disputes, ledger debits, licences already granted to buyers for paid periods, or other obligations that by their nature should survive.

12. Changes and versioned acceptance

PineScript Market may update this agreement as the marketplace, providers or legal requirements change. Material changes will be identified by a new version or updated date. Where renewed consent is required, selling or payout functionality may be paused until the new version is accepted. The server records the version and time accepted with your seller profile.
